Terms and Conditions of Supply

TERMS AND CONDITIONS OF SUPPLY

1. Definitions and Interpretation

“BRU” means BRU Print and Packaging Limited (registered number10886113)

“Customer” means the person firm or company who purchases Goods or Services from BRU

“Goods” means the goods (if any) to be supplied and/or delivered to the Customer (including any part or parts of them) by BRU

“Services” means the services (if any) agreed in the Contract to be supplied to the Customer (including any part or parts of them) by BRU

“Price” means the price of the Goods and Services as agreed in writing between the parties

“Conditions” means these standard terms and conditions of supply of BRU set out in this document

“Contract” means the contract between BRU and the Customer for the sale and purchase of the Goods and/or the supply of the Services, incorporating these Conditions 

 

2. General

All sales and other contracts made by BRU are made on the following conditions. These conditions form the whole agreement between BRU and the Customer and override any other terms which the Customer may subsequently seek to impose. No other terms written or oral shall be incorporated into the contract. No agent salesman or representative of BRU has the authority to alter any of these terms or introduce any other terms written or oral into the contract, nor to make any representation as to the effect of these terms or as to the subject matter of the contract generally and no such alteration or representation shall be binding on BRU unless accepted writing by a partner of BRU. 

 

3. Price

  1. All goods and services are sold on agreed in writing price.
  2. Unless otherwise agreed in writing the Price includes all origination, plates, and transport of the Goods. BRU will deliver the Goods to the address in the United Kingdom specified in the Customer’s order.
  3. The Price is exclusive of any applicable value added tax (or other applicable sales tax), which the Customer shall also pay to BRU. 

 

  1. 4. Payment
    1. Unless otherwise agreed in writing, BRU may invoice the Customer for the price of the Goods or Services on order date, or when they would have been delivered.
    2. The Customer shall pay the Price in advance unless they have a credit agreement.
    3. The customer must pay all the invoices in full within 30 days from the invoice date.
    4. If the Customer fails to make any payment on the due date, then BRU reserves the right to charge interest on any outstanding amount at four per cent per annum above the Bank of England base rate and /or suspend any further deliveries of Goods or provision of Services to the Customer until all sums due have been paid. 

 

5. Proof Copies and Sign Off

  1. BRU will provide the Customer with proofs of the Goods before printing.
  2. The Customer must approve the proof or notify BRU of any necessary corrections as soon as reasonably practicable.
    1. BRU will not be responsible for correcting any errors in the printed Goods unless it has failed to print strictly in accordance with the proof supplied to the Customer.
    2. The Customer shall pay for any re-prints that may be necessary due to the Customer’s failure to notify BRU of any correction.
    3. BRU may charge the Customer an additional charge if the Customer requests any alterations other than a correction for which BRU is responsible. 

 

6. Delivery

  1. BRU will do best to ensure that goods are delivered on or before our estimated delivery dates, but these dates are estimates only and BRU cannot accept responsibility for any loss arising from delays in delivery however those delays arise.
  2. Customer must arrange for manpower and equipment to be available to unload the goods when they are delivered.
  3. If delivery is refused or impossible, then the Goods will be returned to BRU. The Customer will make alternative arrangements with BRU for delivery of the Goods with additional transport costs and storage costs.
  4. BRU shall be entitled to deliver +/-5% of the quantity of bespoke printed Goods. 

 

7. Cancelation and Return of Goods

1. Unbranded / Stock Items:

We hope you will be pleased with your purchase(s). However, should you wish to, you have the right to cancel the contract at any time up to the end of 28 working days from the day after you receive the goods under the Distance Selling Regulations and you will be refunded in full.

2. Branded With Custom Logo Items:

Personalised items are non-refundable and/or non-exchangeable, so we advise all customers to order a sample to ensure the product is suitable. We do not accept returns for a refund on unwanted goods or products ordered in error.

 

8. Damage

If the Customer thinks that any goods have been damaged in transit, or that some goods have not been delivered Customer must notify BRU within seven days of delivery. BRU cannot accept any responsibility for any such claim unless BRU are notified within this time limit. 

 

9. Ownership and Risks

  1. The risk in all goods delivered in connection with the work shall pass to the customer on delivery.
  2. Goods supplied by BRU remain the BRU’s property until the customer has paid for them and discharged all other debts owing to BRU.
  3. If the customer becomes insolvent and the goods have not been paid for in full the BRU may take the goods back and, if necessary, enter the customer’s premises to do so, or to inspect the goods.
  4. If the customer shall sell the goods before they have been paid for in full he shall hold the proceeds of sale on trust for the BRU in a separate account until any sum owing to BRU has been discharged from such proceeds. 

 

10. Liability

Subject to statutory rights of a consumer BRU’s liability in respect of any goods supplied by BRU is limited to:

  1. The replacement of any such goods which are proved not to comply with description or sample, or to be defective or unsuitable for the purpose due to faulty design, workmanship, or materials.
  2. To liability under any warranty of title or of freedom from incumbrances and shall be subject to the following conditions:
    1.  The complaint must have been notified to BRU in writing within in 7 days of delivery.
    2. BRU shall have no liability for any indirect or consequential loss or damage. 

 

11. Force Majeure

The performance of all contacts is subject to variation or cancelation by BRU owing to any act of God, war, strikes, governmental regulations or orders, national emergencies, lockouts, fire, flood, drought, tempest, or any other cause (whether or not a like nature) beyond our control, or owing to any inability by BRU to produce materials or articles required for the performance of the contract and BRU shall not be held responsible for any inability to deliver by any such contingency. 

 

12. Governing Law

The formation, existence, construction, performance, validity, and all aspects of the Contract shall be governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
